Sullair 60 Sales Event Promotional Offer Terms & Conditions

1. General: These Sullair 60 Sales Event Promotional Offer Terms and Conditions (these “Terms and Conditions”) govern the Sullair 60 Sales Event Promotion (this “Promotion”) that is being offered to Eligible Purchasers (as defined below) by Hitachi Global Air Power US, LLC, the manufacturer of Sullair-brand air compressors (“Hitachi”) during the below-specified Offer Period.
2. Offer Period: The period during which the Offer (as defined below) is extended to Eligible Purchasers by Hitachi begins July 14, 2025 and ends December 31, 2025, except to the extent otherwise provided under these Terms and Conditions (the “Offer Period”).
3. The Offer: For any business purchaser that is an eligible participant under Section 4 of these Terms and Conditions (an “Eligible Purchaser”) who, during the Offer Period: (i) purchases a Qualifying Product (as defined below) that is being acquired to replace an existing compressor (as evidenced by appropriate evidence of scrapping or demonstration of its conversion to back-up only usage) from a Participating Sullair Reseller (as defined below), and, as reflected on the same invoice, (ii) purchases a 3-year Service Agreement for such Qualifying Product , the Participating Sullair Reseller will issue an instant savings (i.e., discount from invoice) on the purchase of such Qualifying Product equal to Fifty Dollars ($50) per Hitachi’s published horsepower rating for such Qualifying Product (e.g., 50hp x $50 = $2,500 instant savings)(the “Offer”).
4. Eligibility: The Offer is open only to businesses that reside and operate within the United States and Canada who are the original end-user purchaser of a Qualifying Product and 3-year Service Agreement for such Qualifying Product from an authorized Sullair-brand distributor, dealer or reseller who is participating in this Promotion (each, an “Participating Sullair Reseller”) and who agree that, by participating in the Promotion and accepting the Offer, they are confirming their acceptance of, and agreement to, these Terms and Conditions and their agreement to abide by Hitachi’s decisions regarding the Offer and the interpretation of these Terms and Conditions, which decisions will be final and binding.
5. Qualifying Products: For purposes of the Offer and these Terms and Conditions, a “Qualifying Product” means any of the Sullair-brand air compressor models identified on Exhibit A hereto purchased in brand new condition from a Participating Sullair Reseller during the Offer Period, as evidenced by valid proof of purchase documentation.
6. Certain Conditions and Restrictions: This Promotion does not apply or extend to any products other than the Qualifying Products and may not be combined with any other Hitachi promotional offer. Any Qualifying Product purchased under this Promotion is subject only to the standard limited warranty applicable to such Qualifying Product. Authorized Sullair-brand distributors, dealers and resellers are expressly excluded from participating in this Promotion as purchasers of Qualifying Products from Hitachi (whether directly or indirectly). This Promotion is open only to bona fide Eligible Purchasers of Qualifying Products who properly comply with all other requirements set forth or referred to in these Terms and Conditions. All requests for participation in this Promotion are subject to review and confirmation and, if necessary, parties requesting to participate agree that they may be contacted directly by Hitachi sales and/or customer service representatives. Hitachi reserves the right to request additional or missing information from Eligible Purchasers and/or Participating Sullair Resellers as may be necessary to confirm timely proof of purchase and to ensure no actions taken are duplicative, fraudulent or otherwise inconsistent with these Terms and Conditions or the objectives of this Promotion. Hitachi is not responsible for, and reserves the right to reject, any incomplete, illegible, duplicative, late, lost or otherwise invalid attempts to accept the Offer submitted by Participating Sullair Resellers. Availability of Qualifying Products may be limited. Qualifying Products must be brand new, factory-sealed, A-Stock models, and purchases of used, demonstration, refurbished or reconditioned models are expressly excluded from this Promotion. If an Eligible Purchaser places an order for one or more Qualifying Products that cannot be fulfilled during the Promotion Period based on backorder status or any other reason, the applicable Eligible Purchaser will not be eligible to participate in this Promotion in respect of such units on backorder (e.g., units that only become available after the expiration of the Offer Period will not be eligible for this Promotion). Qualifying Products ordered or purchased with promotional, volume or bid pricing are specifically excluded from this Promotion.
7. LIMITATION OF LIABILITY: IN NO EVENT WILL HITACHI BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF QUALIFYING PURCHASERS’ PARTICIPATION IN THIS PROMOTION OR ANY CONSIDERATION RECEIVED OR NOT RECEIVED IN CONNECTION HEREWITH.
8. Additional Terms and Conditions: This Promotion is void where prohibited by law. Hitachi reserves the right to revise, modify, terminate or cancel this Promotion at any time, with or without notice to participants.
